Terms and Conditions – C-Suite

Welcome to C-Suite by Carrot Medical, LLC!
These Terms and Conditions ("Terms") govern your use of the C-Suite telepresence platform and associated services provided by Carrot Medical, LLC ("Carrot Medical", "we", "us", or "our"), accessible via https://www.carrotmedical.com and related URLs.
By accessing or using C-Suite, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use the platform.
1. Definitions
"Client", "You", "Your" refers to you, the person or entity accessing or using the C-Suite platform in compliance with these Terms.
"Carrot Medical", "We", "Us", "Our" refers to Carrot Medical, LLC.
"Platform" refers to the C-Suite telepresence software and related services provided via our website and applications.
"Services" means all features, functionality, and services provided through the Platform.
"User Content" means any data, information, documents, recordings, or other content that you or your authorized users submit, upload, or transmit through the Platform.
2. Eligibility and Account Registration
Age Requirements
You must be at least 13 years of age to use our Services. If you are between 13 and 18 years of age, you may only use our Services with the involvement and consent of a parent or guardian.
Our Services are not intended for children under 13, and we do not knowingly collect personal information from children under 13.
Account Registration
To access certain features of the Platform, you may need to create an account. You agree to:
Provide accurate and complete information during registration
Maintain the security of your account credentials
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account
3. Permitted Use of the Platform
You may use the C-Suite platform for lawful professional purposes in accordance with applicable laws and these Terms.
Acceptable Use
You agree to use the Platform only for its intended purpose as a telepresence and communication tool. You may:
Conduct professional meetings, consultations, and communications
Host conferences, educational sessions, and training programs
Share appropriate professional content during meetings (subject to applicable privacy and confidentiality requirements)
Integrate with compatible third-party professional applications and systems
Prohibited Use
You agree not to:
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the platform without our express written permission
Use the platform to post, share, or transmit unlawful, defamatory, harassing, abusive, fraudulent, or infringing content
Attempt to gain unauthorized access to our systems, networks, or data
Use the platform in any way that could damage, disable, overburden, or impair our services
Interfere with other users' use and enjoyment of the platform
Use automated systems (bots, scrapers, etc.) to access the platform without authorization
Violate any applicable laws or regulations while using the platform
Use the platform for any commercial purpose outside of your authorized subscription
4. International Use
The Platform may be accessed by users worldwide. If you access the Platform from outside the United States, you are responsible for compliance with your local laws and regulations. By using our Services, you consent to the transfer and processing of your information in the United States and other countries where we operate.
5. Intellectual Property
Unless otherwise stated, Carrot Medical or its licensors own all intellectual property rights in the Platform, including but not limited to software, designs, text, graphics, user interfaces, trademarks, and functionality. All rights are reserved.
License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your professional purposes, provided you remain in compliance with these Terms
Restrictions
You must not:
Sell, license, distribute, or redistribute C-Suite content, software, or code
Modify, adapt, or create derivative works based on the Platform
Reverse engineer, decompile, or disassemble any part of the Platform
Remove or alter any proprietary notices or labels
Use our branding, trademarks, or logos without prior written consent
6. User Content and Data
Your Content
You retain all ownership rights in your User Content. By submitting content to the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and transmit your content solely for the purpose of providing and supporting the Platform.
Your Responsibilities
You represent and warrant that:
You have the legal right to upload and share all User Content
Your User Content does not infringe on third-party intellectual property rights
Your User Content does not contain unlawful, harmful, or inappropriate material
You will comply with all applicable laws when using the Platform
Content Moderation
We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or applicable law.
7. Data Privacy and Security
Privacy Policy
Our data collection, use, and protection practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference. We do not sell personal data and do not discriminate against individuals who exercise their privacy rights.
Your Data Protection Obligations
If you use C-Suite to process personal data, you are responsible for:
Obtaining all necessary consents and authorizations
Ensuring compliance with applicable privacy laws (including GDPR, CCPA, and other relevant regulations)
Implementing appropriate security measures for your data
Providing required privacy notices to your users
HIPAA Compliance
For healthcare clients processing Protected Health Information (PHI):
Carrot Medical will enter into Business Associate Agreements (BAAs) when required
You remain the covered entity responsible for HIPAA compliance
We provide secure transmission tools but do not access, use, or store PHI directly
You must ensure all necessary patient authorizations and consents are obtained
Both parties must implement appropriate safeguards as required by HIPAA
8. Cookies and Tracking Technologies
We use cookies and similar technologies to enhance platform functionality and user experience. By using C-Suite, you consent to our use of cookies in accordance with our Privacy Policy. You can manage cookie preferences through your browser settings, though this may affect platform functionality.
9. Third-Party Integrations and Content
Third-Party Services
The Platform may integrate with or link to third-party tools and services (such as calendar applications, authentication services, or file storage). We do not control and are not responsible for:
The content, functionality, or availability of third-party services
The privacy practices of third-party services
Any charges or fees imposed by third-party services
Your Responsibility
Your use of third-party integrations is subject to those providers' terms and privacy policies. We encourage you to review them carefully.
10. Service Availability and Performance
Service Levels
We strive to provide reliable and continuous service availability. However, we do not guarantee uninterrupted access to the Platform. Factors that may affect availability include:
Scheduled maintenance and updates
Technical issues or system failures
Third-party service disruptions
Force majeure events
Maintenance
We may perform scheduled maintenance that temporarily affects Platform availability. We will provide reasonable advance notice when possible.
No Service Level Agreement
Unless separately agreed in writing, we do not provide specific uptime guarantees or service level commitments.
11. Fees and Payment
If you have a paid subscription:
Fees are due in advance and are non-refundable except as required by law
We may change our fees with 30 days' notice
Failure to pay may result in service suspension or termination
You are responsible for any taxes associated with your use of the Platform
12. Limitation of Liability
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARROT MEDICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:
Loss of profits, data, or business opportunities
Service interruptions or delays
Third-party actions or content
Security breaches not caused by our gross negligence
Maximum Liability
Our total liability to you for all claims arising from these Terms or your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim.
Exceptions
Nothing in these Terms will:
Limit liability for fraud, gross negligence, or willful misconduct
Exclude any liability that cannot be limited under applicable law
Limit your rights as a consumer under applicable law
13. Indemnification
You agree to indemnify, defend, and hold harmless Carrot Medical and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
Your use of the Platform
Your violation of these Terms
Your User Content
Your violation of any third-party rights or applicable laws
14. Termination
Termination by You
You may terminate your account at any time by contacting us or through your account settings.
Termination by Us
We may suspend or terminate your access to the Platform if you:
Violate these Terms or our policies
Use the service in a way that risks harm to us, other users, or third parties
Engage in fraudulent or illegal activities
Fail to pay applicable fees
Effect of Termination
Upon termination:
Your right to access the Platform will cease immediately
We may delete your account and User Content in accordance with our data retention policies
Provisions that by their nature should survive termination will remain in effect
15. Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.
Jurisdiction
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in King County, Washington, and you consent to the jurisdiction of such courts.
Informal Resolution
Before initiating formal legal proceedings, you agree to first contact us at info@carrotmedical.com to attempt to resolve the dispute informally. If the matter is not resolved within 30 days of initiating contact, either party may proceed with formal legal action
Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.
16. Modifications to Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes by:
Posting the updated Terms on our website with a new effective date
Sending email notification to registered users
Providing in-platform notifications
Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
17. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and Carrot Medical regarding the Platform.
Severability
If any provision of these Terms is found to be unenforceable, the remainder of the Terms will remain in full force and effect.
Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
Force Majeure
We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.
